Charter of Public Association “The Kazakhstan Federation of Radiosport and Radio Amateur”

1.1. Public Association “The federation of Radiosport and Radio amateurishness of Kazakhstan” is public non-political organization of radio amateurs of the Republic of Kazakhstan, voluntarily incorporated on the base of community (similarity) of non-commercial amateurish interests in the sphere of radio communication.

1.2. Public Association exists under the Constitutional document, Civil Codex, the law of the Republic of Kazakhstan about the Public Associations and present Charter. It was found and act on the base of voluntary, equality of all members (participants), self-management, legality, accountability and open activity.

1.3. Public Association “The federation of Radiosport and Radio amateurishness of Kazakhstan” is a republican municipal association.

1.4. Long title:

- in state language – “Қазақстанның Радиоспорт және Радиоәуесқой Федерациясы” Қоғамдық Бірлестігі, abbreviate - ҚРРФ ҚБ.

- in Russian language - Общественное Объединение «Казахстанская Федерация Радиоспорта и Радиолюбительства», abbreviate - ОО КФРР.

Location:  010009, The Republic of Kazakhstan, Astana city, Almaty district, Abilay-khan avenue, 25/3, apartment 102.

2.1. The aims of Public Association “The federation of Radio sport and Radio amateurishness of Kazakhstan” (hereafter Association), are serving radio amateurish interests, assistance in the development of scientific-technical creativity, and radio sport, enhancement of the international humanitarian connections and contacts, strengthen of the peace and friendship between peoples of the Republic of Kazakhstan and other countries by communication with the radio amateurs of the world.

2.2. Association makes as the mission next commitments:

- development and popularization of radio sport and radio amateurish creativity in Kazakhstan;

- advancement and popularization of scientific-technical experience in the sphere of radio-engineering;

- serving creative amateurish interests of the population in the sphere of radio;

- patriotic education of the young generation;

- raising the role of radio sport and radio amateurs in comprehensive person development and formation of healthy lifestyle;

- legal support to the Association members concerning the question arising from the practice of organization and carrying out radio amateurish connections;

- interaction with state authorities of Republic of Kazakhstan by means of submission petitions on different questions concerning radio amateurish activity, the solution of which comes under state authorities cognizance;

- assistance in manufacture and placing the producing units of radio amateurish technical tools, radio construction, mastering computer competence, construction of radio-controlled models, support of other types of radio amateurishness;

- provision of the Association members with radio amateurish information;

- assistance the radio amateurs by interstate contact;

- assistance government structures of the Republic of Kazakhstan and other countries in the time natural disasters, serious accidents and other emergency situations, in liquidation its consequences by organization of radio communication, including radio amateurish tools;

2.3. The objects of activity are:

- organization of symposiums, seminars, lections, courses, consultations, exhibitions, fairs, schools and other actions;

- organization of radio amateurish sport competitions;

- formation of national teams on radio sport for the participation at international competitions of all levels.

- implementation publishing activity, focused on popularization radio technical experiences, informative knowledge of radio amateurs;

- rendering support to radio amateurs – invalids in the Republic of Kazakhstan - formation of economic partnership, production cooperative of the joint-stock company for the realization of the Charter aims;

- development of working relationship on the equal base regarding Charter activity with governmental and non-governmental structures, trade union, youth, creative and sport and other organizations, co operations, movements, the activity of whom does not contradict the Constitutional document of the Republic of Kazakhstan and present Charter;

- maintenance of the international communications, including foreign national organizations of radio amateurs, to conclude corresponded agreements, to join international non-commercial non-governmental collaborations in the quality of collective members, excluding religious ones.

- formation of organization departments (agencies and branches) in foreign countries on the base of generally recognized foundations and norms of international law, international agreements and legislations of appropriate state;

- submission and protection of legal interests of our members in governmental and public agencies;

3.1. The members of Association can be citizens of the Republic of Kazakhstan, foreign citizens and stateless persons reached the age of 16, who deals or is eager to deal with radio amateurishness, admits the Program and the Charter of Association and adhere to its requirements.

3.2. Association has Emeritus and Honorary members, status if whom is regulated by separate Regulation, developed by Presidium and approved be conference.

3.3. Admission to membership is implemented in virtue of written application of entrant. The members of Association have a right to:

- participate at conferences;

- participate at all actions hold by Association;

- use properties and services of Association;

- elect or be elected to the governing bodies of Association;

- contribute suggestions on up-grading the activity of Association;

- get the information concerning actions proposed by Associations;

- use the official emblem (symbolic) of Association on each QSL cards (Annex №1);

3.4. The members of association have one membership card, pay membership fee, get registered at one of organization departments;

3.5. The Association member is obliged to:

- assist in realization of commitments and aims of Association, uphold its prestige;

- keep up to the honor law, universal and radio amateurish ethic while working “on the air”;

- diligently execute an orders concerning Association;

- keep up the Association Charter and requirements of the communication administration regulating documents;

- pay membership fee.

3.6. The membership is terminated in case of secession from Association voluntarily, by written application to the Presidium or in virtue of Presidium decision of Association about expulsion from membership for non-compliance the regulations of present Charter. In case of excluded member disagreement with Presidium decision, he has right to apply at next Association Conference.

Section 4

Structure

4.1. Association has a right to form branches and open agencies by territorial feature (city, district, region) on the territory of more than half regions of the Republic of Kazakhstan beyond its location.

4.2. Branches and agencies are not legal entities. They vest by Association properties and act by virtue of Regulations approved by Association conference.

4.3. Organization departments of Association (branches and agencies) are liable to the accountable registration, which holds at territorial bodies of the justice.

Section 5

Legal status

5.1. Association is a legal entity and has the rights of legal entity from the moment its state registration at the Ministry of Justice of the Republic of Kazakhstan.

5.2. Association has a right under its name to conclude agreements, get possession of material and non-material rights, act as claimant and defended at public, adjudicatory and arbitral courts.

5.3. Association has independent balance and necessary operating account, including monetary in the banking institutions.

5.4. Association has stamp, seals made in Kazakh and Russian languages, registered in the order established by law.

5.5. Association under the law implements ownership, use and disposition of its property in accordance with purposes of its activity and appropriation of property, has a proprietary right.

5.6. Association has a right of independent maintenance of foreign economic activity in accordance with operating law.

5.7. Association has a right to establish mass media communications and distribute information about its activity. 5.8. Association on contractual principles can enter into the unions, corporations and other public associations, including international organizations, entering with them into corporations and unions.

5.9. Association has a right to represent foreign radio amateurs’ interests under their agreement.

5.10. Association has a right to act as applicant and patent holder in own country and abroad.

5.11. Association is liable for the whole its property.

5.12. Association is not liable for the government as equal government is not liable for Association.

5.13. The Association property can be seized only in case and order stipulated by present law.

Section 6

Regulatory body

6.1. Superior regulatory body of Association is a Conference, which are held every year. Conference has a right to make decisions on any questions concerning Association activity. The delegates of conference in the quantity of no less than one radio amateur from each organization department are elected on the conferences (meetings) with the right of one decisive vote. Conference can be considered as legally qualified, if 50% + one delegate takes part in its activity, which represents the majority of regional branches and agencies, and its decision can be considered as legally qualified, if more than half of present delegates vote for it. Time and place of holding the conference is determined by executive body of Association, in case of necessity out-of-sequence conference of Association can be convened. Regulations of holding the out-of-sequence conferences are determined by executive board of Association. Conference activity carries open character.

6.2. To the exclusive competence of the Association conference can be referred next items:

- adoptions, introduction of alterations and annexations into the foundation agreements of Association.

- voluntary reorganization and liquidation of Association.

- definition of competence, organization framework, formation order and termination of powers of Association regulatory bodies.

- order and periodicity definition of executive boards submission the financial report, as also order of control conducting by controlling body and its results statement.

- adoptions within authorized by legislative acts, decisions about Association participation in creation or activities of other juridical entity, as also its branches and agencies.

- approve the status of Emeritus and Honorary members of Association.

- define the amount of membership fee.

6.3. The executive board of regulatory body is Presidium of Association, the structure of which compounds of Presidium Chairman, Deputy Chairman of Presidium, Presidium Secretary and heads of regional organization departments. The Association Presidium is elected in the structure of no less than 5 members. Association Presidium is elected for a term of 4 years. Association Presidium holds its plenary meetings as and when necessary but no less than twice per year.

6.4. Association Presidium implements current management by activity of Association, excluding items, referred to the exclusive competence of Association conference;

- realization ways of Association conference solutions, works on the solution of radio amateurish problems of state and interstate importance;

- solves the questions of convention the regular conference;

- considers the question of admission to membership;

- contributes suggestions on annual budget and expenditure estimate to regulatory bodies, also develops the main events program of Association;

- informs radio amateurish environment about its activity. The Presidium decisions are accepted by a majority vote of its members.

6.5. The Association Presidium Chairman is elected for a term of 4 years.

- acts without warrant of attorney on behalf of Association, represents it in country and abroad.

- implements operational management of Association work in accordance with the main directions of its activity;

- indorses by signature the agreements, obligations, acts and other important documents of Association;

- opens an operating, currency and other accounts at banks, including foreign currency within the territory of the Republic of Kazakhstan and abroad;

- manages the economic and financial activity of association;

- organizes the activity of Association, its Presidium and takes the chair, brings the information concerning duties of each Presidium member to the Association members;

- enforces legality, implementation of charter provisions and “open” activity of Association and its bodies;

- convenes plenary sessions of the Association Presidium, prepares and tops up the reports about Association activity on the conferences.

- performs other functions, duties and assignments, connected with current activity of Association and from present Charter. 6.6. The Association Presidium Deputy Chairman is elected for a term of 4 years.

- implements the duties of the Association Presidium Chairman during its absence;

- coordinates the work of branches and agencies;

- performs other functions, duties and assignments as may be agreed by Chairman of the Association Presidium.

6.7. Secretary of the Association Presidium:

- implements the duties of Chairman during the absence of Chairman and Deputy Chairman;

- performs other functions, duties and assignments as may be agreed by Chairman of the Association Presidium; - conducts clerical work of Association.

6.8. The positions of Chairman, Deputy Chairman and Secretary of the Association Presidium are free-lance and can be substituted on a voluntary basis.

6.9. Chairman, Deputy Chairman and Secretary of the Association Presidium can be relieved of their post before their terms end by the Presidium decision for infringement of Charter, with subsequent statement on the conference.

Section 7

Property and assets

7.1. Property of Association is used only for realization Charter purposes.

7.2. Fixed capitals and current assets of Association are formed due to admission membership fee, other financial and material incomes, including from the sponsors.

7.3. Admission and annual membership fees of the Association members and other cash assets are received into the centralized fund of Association and they are used in accordance with budget approved by Association Presidium.

7.4. The amount of contributions is determined be Association conference and it is corrected operatively in case of unfavorable economic situation by Presidium.

Section 8

Audit Commission

8.1. The Association activity is controlled by bodies of tax inspectorate and other bodies, who implements financial control.

8.2. Audit commission implements an internal control over Association activity and its organization departments, elected for a term of 4 years by conference composed of chairman and two members, who are not members of Presidium.

8.3. Audit commission:

- controls the Presidium maintenance of current legislation, present Charter, Association conference decisions;

- makes annual audit of financial activity of the Association Presidium;

- draws up the documents of audits and inspections for submission on the conference.

8.4. The members of audit commission have a right to participate in the work of plenary meetings of Association Presidium and conference with consultative capacity.

Section 9

Financial accounting and Reporting

9.1. Financial year of Association is equal to calendar year and ends on 31st of December of current year.

9.2. Administrative, statistic and business accounting and reporting of Association holds by financial-accounting officer on the assumption of calendar year and current legislation.

Section 10

Production and commercial operations

10.1. In the purpose of implementation Charter provisions and objectives of Association in the order set by law, implements production and commercial operations.

10.2. The assessments in the amount set by law and founding documents are contributed to the Association budget by corporations, enterprises, organizations and other production cooperatives, business partnerships, founded and co-founded by Association.

Section 11

Termination of activity

11.1. Termination of Association activity implements by reorganization and liquidation:

- by the decision of Association conference;

- by the court decision.

11.2. Reorganization and liquidation of Association implements in the order set in the current legislation.

11.3. Remaining property is directed to the purposes written in the founding documents after creditors claims adjustment.
